The bond issuance is not clearly regulated by the legislation of the Republic of Armenia. The article discusses the question about who can issue bonds in Armenia and the author concludes that the right to issue bonds can be given only to legal entities that are authorized by the law. Then the author examines the bond prospectus and the legal framework of compensation of damage when misstatement in prospectus occurs. The author discusses the gaps in the legislation of Armenia concerning misstatement of prospectus and offers to change some of its provisions.
